Associate Legal Counsel – EU

POSITION SUMMARY

The Associate Legal Counsel-Europe reports directly to the Assistant General Counsel, Europe and is an operational-level position within the Legal team.  This person is responsible for providing legal support to functional areas of the Company based in Europe, including Medical Affairs, Commercial, Manufacturing, Supply Chain, HR, Finance, IT, Office Administration and others as needed.

 

Essential Duties and responsibilities

  • Prepare, draft, negotiate, oversee and manage a wide variety of company contracts across all functional areas in Europe, including services agreements, consulting agreements, manufacturing, supply and distribution agreements, advisory boards, and other contracts in support of the approval, commercialization and distribution of the Company’s products in Europe
  • Supervise and oversee the archiving and tracking of full portfolio of company contracts
  • Coordinate, manage, and continually seek to enhance and improve the company contracting processes and templates
  • Work closely with departments and stakeholders across the organization and become a trusted partner and ensure efficient and effective completion of quality contracts
  • Draft and review of corporate documents, power of attorneys, boards minutes, resolutions and agendas
  • Acting as a business partner by applying combined business and legal judgment to proposed deals, relationships, and other issues requiring legal attention
  • Support the Assistant General Counsel, Europe in developing compliance policies and procedures as well as training materials in Europe in line with the Global Healthcare Compliance Program designed by the Chief Compliance Officer in US
  • Develop a knowledge of, and continually monitor, the Company’s current and planned research, development and other business activities as well as laws and regulations affecting the Company’s business
  • Support the Assistant General Counsel, Europe in liaising with outside legal counsel, as needed
  • Other duties as assigned

REQUIREMENTS

  • UK qualified Solicitor, barrister or equivalent with around 5 years’ post qualified experience; with at least 3 years in the Life Sciences/Pharma industry
  • Prior experience in law firms is nice to have but not an essential requirement
  • Prior exposure to the design and implementation of contract management system platforms and other legal operations activities would be well received
  • Experience in drafting and negotiating agreements and contracts and providing legal advice on general legal matters in the biotech/pharmaceutical industry
  • Working legal knowledge of the pharmaceutical, biotech, life sciences, and healthcare laws and code of practice (including EFPIA and ABPI)
  • Practical legal knowledge of GDPR and relevant national data protection laws

 

TRAVEL, PHYSICAL DEMANDS AND WORK ENVIRONMENT

  • Regularly required to operate standard office equipment (personal computer, photocopy machine, etc.)
  • Ability to work on a computer for extended periods of time
  • Occasional travel
  • Regularly required to sit for long periods of time, and occasionally stand and walk
  • Regularly required to use hands to operate computer and other office equipment
  • Close vision required for computer usage
  • Occasionally required to stoop, kneel, climb and lift up to 20 pounds
